The law embraces great liberality in
allowing amendment of pleadings. Defendants’ arguments that the court should
nevertheless deny plaintiff leave to file a second amended complaint do not overcome
that liberality. The court does not find plaintiff unreasonably delayed filing
its second amended complaint. The court also does not find that the second amended
complaint prejudices defendants. Finally, the court concludes defendants’ futility
arguments are premature.
The court grants plaintiff’s motion
for leave to file a second amended complaint. The court orders plaintiff to
file and serve its complaint within 10 days of this order.
Plaintiff shall give notice.
