The Court will not post substantive tentative rulings in advance of oral argument. The Court asks the parties to address these matters at argument:
Defendants should explain the relationship of each Defendant to each other, the duties of each defendant and to whom the duties are owed, their respective roles in the transaction, and the undisputed facts that support Defendants’ position. Defendants also should be prepared to address any differences among each Defendant’s respective positions on these matters.
Plaintiff should address the same issues, identifying in particular the disputed facts in each cause of action that in Plaintiff’s view require a trial.
The parties should explain any conflicts of interest arising from the relationships and duties of Defendants and identify when and by what means these conflicts were (or were not) disclosed to Plaintiff.
The Court recommends the parties present at argument one or more charts or other illustrations of these relationships, roles, and conflicts of interest.
The Court has reviewed the papers filed in support of and in opposition to these motions and, other than the clarifications discussed above, asks the parties not to repeat the arguments made in their papers.
