considered the moving papers filed in connection with this Petition. No opposition papers were filed.
DISCUSSION
Petitioner Sharepointalist Inc. filed the pending Petition for
Reinstatement of Corporation on August 11, 2022, requesting that the court
issue an order directing the Secretary of State to reinstate the corporation to
active status. The Petition is verified
by Pavel Shkurikhin. (Pet., p. 5
[Verification].)
“The Secretary of State shall reinstate to active status on its
records, a business entity for which a court finds any of the following:
[¶] (1) The factual representations by a
shareholder, member, partner, or other person that are contained in the
termination document are materially false.”
(Gov. Code, § 12261, subd. (a)(1).)
Based on the evidence presented in support of the verified petition,
the court finds that factual representations by a shareholder, member, partner,
or other person that are contained in the termination documents for petitioner
Sharepointalist Inc. (the “Certificate of Dissolution” filed with the
California Secretary of State on January 3, 2022) are materially false. (Pet., Ex. 2.) The court therefore grants petitioner
Sharepointalist Inc.’s Petition for Reinstatement of Corporation. (Gov. Code, § 12261, subds. (a)(1),
(b)(1).)
The court orders that petitioner Sharepointalist Inc. shall be
reinstated to active status on the records of the California Secretary of State
effective from the date of the filing of the court order with the Secretary of
State. (Gov. Code, § 12261, subd.
(b)(3).)
